Terms of Service

These Terms of Service (“Terms”) govern your use of the services provided by Nexivol (“we,” “us,” or “our”). By engaging our services or using our website, you agree to be bound by these Terms. Please read them carefully.
1. Scope of Services
Nexivol provides professional accounting, tax advisory, and digital marketing services to businesses and individuals in the UAE and internationally. The specific services to be provided, their deliverables, and timelines will be set out in a separate service agreement, proposal, or engagement letter agreed upon by both parties.
We reserve the right to decline, modify, or discontinue any service offering at our discretion. Any changes to the scope of services must be agreed upon in writing by both parties.
2. Payment Terms
Fees for our services are as agreed in the relevant service agreement or proposal. Unless otherwise specified:
- Invoices are due and payable within 14 days of the invoice date.
- Payments must be made in the currency specified in the invoice.
- We reserve the right to suspend services in the event of non-payment or late payment.
- All fees are exclusive of applicable taxes (including VAT where applicable under UAE law), which will be added to invoices as required.
- Disputed invoices must be raised in writing within 7 days of receipt. Undisputed amounts remain due and payable by the original due date.
3. Client Responsibilities
To enable us to deliver services effectively, you agree to provide accurate, complete, and timely information and documentation as reasonably requested. You are responsible for the accuracy of all information you supply to us. We are not liable for any errors, delays, or failures arising from inaccurate or incomplete information provided by you.
4. Intellectual Property
All intellectual property rights in materials, tools, methodologies, and deliverables created by Nexivol remain the property of Nexivol unless otherwise agreed in writing. Upon full payment of all applicable fees, you are granted a non-exclusive licence to use deliverables created specifically for you for your own business purposes.
5. Limitation of Liability
To the fullest extent permitted by applicable law, Nexivol’s total liability to you for any claims arising out of or in connection with our services shall not exceed the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.
Nothing in these Terms shall limit or exclude liability for fraud, wilful misconduct, or any other liability that cannot be excluded by law.
6. Confidentiality
Both parties agree to keep confidential all non-public information received from the other party in connection with the services and not to disclose such information to any third party without prior written consent, except as required by law or regulation.
7. Termination
Either party may terminate a service engagement by providing written notice as specified in the relevant service agreement. In the absence of a specific notice period, 30 days’ written notice is required. Upon termination, you remain liable for all fees due for services rendered up to the date of termination.
8. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE). Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
9. Amendments
We reserve the right to update or modify these Terms at any time. The updated Terms will be posted on our website with a revised effective date. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
