1. Agreement

These Terms & Conditions ("Terms") govern your use of the Nexivol website and your engagement of services provided by Nexivol Technologies (SMC-Private) Limited ("Nexivol"). By using our website or engaging our services, you agree to these Terms.

2. Services

Nexivol provides professional services including but not limited to:

• UAE VAT registration and return filing
• UAE Corporate Tax registration and filing
• Pakistan FBR income tax returns, NTN registration, and sales tax compliance
• SECP company registration (SMC-Private Limited and Private Limited)
• US federal and state tax filing
• Accounting, bookkeeping, and payroll services
• Web development, mobile applications, and technology services
• Digital marketing services

The specific services, deliverables, timelines, and fees for each engagement are agreed in writing before work commences.

3. Client Responsibilities

The client agrees to:

• Provide accurate, complete, and timely information required for the provision of services
• Review and approve all filings and documents before submission where required
• Notify Nexivol promptly of any changes to their business, financial position, or regulatory status that may affect the services
• Pay fees as agreed and on time

Nexivol is not liable for errors, delays, or penalties arising from inaccurate or incomplete information provided by the client.

4. Fees and Payment

Service fees are as published on our website or as agreed in writing for custom engagements. The following payment terms apply:

• Published service fees are payable in advance of work commencing unless otherwise agreed in writing
• Government fees, regulatory filing fees, and third-party costs are charged at cost and are separate from Nexivol's service fees
• Invoices for retainer services are issued monthly and payable within 7 days of issue
• Late payment may result in suspension of services without liability to Nexivol
• Fees are quoted in AED, USD, or PKR as specified; exchange rate fluctuations for cross-currency payments are borne by the client

5. Intellectual Property

All website content, tools, calculators, service methodologies, and software developed by Nexivol remain the intellectual property of Nexivol Technologies (SMC-Private) Limited. Client-specific work product (filed returns, prepared documents, developed software) belongs to the client upon full payment of fees.

6. Confidentiality

Nexivol treats all client information as strictly confidential. We will not disclose client information to any third party except as required to perform the services (e.g., submission to tax authorities) or as required by law. This obligation survives termination of the engagement.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• Nexivol's total liability for any claim arising from a service engagement shall not exceed the fees paid by the client for the specific service giving rise to the claim
• Nexivol is not liable for penalties, fines, or interest imposed by regulatory authorities arising from circumstances beyond our control, including changes in law or inaccurate client information
• Nexivol is not liable for any indirect, consequential, or punitive damages
• The tax calculators and reference tools on our website are for informational purposes only and do not constitute professional tax advice. Nexivol accepts no liability for decisions made based on calculator outputs without a formal engagement

8. Termination

Either party may terminate a service engagement with 30 days written notice. Upon termination:

• Fees for work completed to the date of termination are payable in full
• Nexivol will deliver all client documents and data in our possession within 14 days of final payment
• Retainer fees paid in advance for undelivered periods will be refunded on a pro-rata basis, subject to our Refund Policy

9. Website Use

You may use the Nexivol website for lawful purposes only. You agree not to:

• Reproduce, copy, or distribute website content without written permission
• Use automated tools to scrape or extract data from the website
• Attempt to gain unauthorised access to any part of the website or its systems

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of Pakistan. Any dispute arising from these Terms or a service engagement shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the courts of Islamabad, Pakistan.

For clients based in the UAE, both parties may agree in writing to seek resolution under UAE law and in Dubai courts.
